Private Placement

Edmonton, Alberta -- November 21, 2007 -- Athabasca Minerals Inc. (TSX Venture: ABM) ("Athabasca") is pleased to announce a non-brokered private placement (the "Athabasca Private Placement") in one or more closings of up to 1,875,000 units ("Athabasca Units") at a price of $0.40 per unit for gross proceeds of up to $750,000. Each Athabasca Unit will consist of one common share in the capital of Athabasca (an "Athabasca Common Share") and one common share purchase warrant (an "Athabasca Warrant"), with each Athabasca Warrant entitling the holder to acquire one additional Athabasca Common Share at a price of $0.60 for a period of 24 months from the date of issuance, subject to accelerated expiry. If after the date that is four months from the date of closing, the volume weighted average price of the Athabasca Common Shares on the TSX Venture Exchange (the "TSXV") be at least $0.80 for any period of 20 consecutive trading days, Athabasca may provide notice to holders of the Athabasca Warrants that the Athabasca Warrants will expire 30 days following the accelerated expiry notice. 

Proceeds from this private placement will be used for general working capital.
